Terms of Service

1. Introduction and Acceptance

Welcome to goveranAI. These Terms of Service ("Terms") govern your use of the goveranAI platform, including our WhatsApp-based marketplace service, website, and any related services.

By accessing or using goveranAI, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.

goveranAI is a platform that connects agricultural sellers ("Farmers" or "Sellers") with buyers ("Buyers"). We do not own, sell, resell, furnish, provide, manage, or control any listings or products offered through our Service.

These Terms are written in plain language as required by the South Africa Consumer Protection Act, 2008. If any part is unclear, please contact us for clarification.

2. The Service

What goveranAI Does

  • Enables farmers to list agricultural produce and livestock for sale
  • Enables buyers to browse listings and express interest in purchasing
  • Facilitates communication between Sellers and Buyers
  • Processes payments for listing fees and deposits

What goveranAI Does NOT Do

IMPORTANT - PLEASE READ CAREFULLY:

  • • Does NOT own or control any products listed on the platform
  • • Does NOT participate in or guarantee any transaction between users
  • • Does NOT arrange, supervise, or control meetups between Sellers and Buyers
  • • Does NOT verify the quality, safety, or legality of listed products
  • • Does NOT act as an agent for any Seller or Buyer
  • • Does NOT provide insurance for transactions or meetups
  • • Does NOT guarantee that any user will complete a transaction
  • • Does NOT guarantee the safety of any in-person meeting

We are an intermediary platform only. Any transaction or meeting between users is solely between those users.

3. Safety Guidelines

Assumption of Risk

BY USING THIS SERVICE, YOU ACKNOWLEDGE AND ACCEPT THAT:

  1. Meeting strangers in person carries inherent risks
  2. goveranAI cannot control the actions of other users
  3. You are solely responsible for your personal safety
  4. goveranAI is not liable for any harm that may occur during meetups

Safety Recommendations

We strongly recommend the following safety measures:

Meeting Location

  • • ALWAYS meet in a public place such as shopping centers, petrol stations, or police stations
  • • Avoid meeting at private residences
  • • Choose well-lit areas with other people present

During the Meeting

  • • Bring someone with you whenever possible
  • • Share your live location with a family member or friend
  • • Meet during daylight hours when possible
  • • Keep your phone charged and accessible

Transaction Safety

  • • Sellers: Verify payment has been received before handing over goods
  • • Buyers: Inspect goods thoroughly before completing payment
  • • Do not carry large amounts of cash

Trust Your Instincts

  • • If something feels wrong, leave immediately
  • • You are under no obligation to complete a transaction
  • • Report suspicious behavior to local authorities and to goveranAI

4. Limitation of Liability

IMPORTANT NOTICE:

goveranAI SHALL NOT BE LIABLE for any damages, injuries, losses, claims, or death arising from:

  • • Any transaction or interaction between users
  • • Any in-person meetup between users, including physical injury, assault, theft, robbery, property damage, fraud, or any criminal activity
  • • The quality, safety, legality, or availability of any listed product
  • • Any user's failure to complete a transaction
  • • Any negligent, reckless, or criminal conduct by any user
  • • Any dispute between users

You acknowledge that goveranAI does not control and cannot guarantee the behavior of any user, and you assume all risk associated with meeting other users in person.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, goveranAI's total liability for any claim shall not exceed the amount of fees you paid to goveranAI in the 12 months preceding the claim, or USD $100, whichever is less.

5. Fees and Payments

All fees are clearly disclosed before any transaction:

Listing Fee: 5% of the listing price, paid by Sellers upon listing approval

Buyer Deposit: 5% of the listing price, paid by Buyers to reserve a listing

Total Platform Fee: 10% (Sellers receive 90% of the total transaction value)

7. Acknowledgment and Agreement

BY USING goveranAI, YOU ACKNOWLEDGE AND AGREE THAT:

  • 1.You have read and understood these Terms
  • 2.goveranAI is a platform connecting Sellers and Buyers only - we are NOT a party to any transaction
  • 3.You are solely responsible for your safety during any in-person meetups
  • 4.goveranAI is NOT liable for any harm, injury, loss, or damage arising from meetups with other users
  • 5.You agree to indemnify and hold goveranAI harmless from any claims arising from your use of the Service
  • 6.You have been advised to meet in public places and take safety precautions
  • 7.You assume all risks associated with transacting with and meeting other users

If you do not agree to these Terms, do not use goveranAI.
